source: quarterly report Q1 2026Hemnet is a fortress business held inside an ownerless governance structure.DB_Silver_Fox’s Substack is a reader-supported publication. General Atlantic bought Hemnet in 2016 for a valuation of around $232 million (https://www.reuters.com/article/business/swedish-online-real-estate-firm-hemnet-plans-stockholm-ipo-idUSKBN2BV0ST/). They fundamentally restructured its business model and transformed it from a "sleepy" portal run by broker associations into a hyper-monetized cash cow by introducing premium tiered pricing structures. Having achieved massive returns, their fund reached its natural maturity, and they cashed out to return money to their own investors.Mäklarsamfundet (Sweden’s largest and oldest industry and member organization for real estate agents), the historic industry owner, held ~10.6% as of Dec 2025.The 2026 Nomination Committee’s nominating shareholders (Vor Capital, Mäklarsamfundet) together represent ~22.6% of votes as of Dec 2025.One structural guardrail exists: Series A1 shares held by Mäklarsamfundet carry a veto against alteration of the company’s objects in the articles. This is narrow — it bars Hemnet from becoming an agent or directly marketing mortgages. It is not a control lock.source: annual report 2025Verdict on architecture: No Stiftung, no Stichting, no binding voting pact, no stewarding family or foundation. Per framework doctrine, a dispersed float and a single narrow veto is structurally inferior to a constitutional lock. Another example of quality without a charter situation.HISTORY:Phase 1 — Industry utility (1998–2016). Hemnet was not built as a company; it was built as the trade's shared shop window. For its first decade it barely had staff. This origin is the source of both its moat (the agents fed it every listing) and its later governance problem (it was never structured as an ownerless public company should be).Phase 2 — Commercialisation (≈2013–2016). The decisive pivot: charging the seller, not the agent, and rebating the agent for administration. This single design choice — monetising the seller through the agent's hands — is the whole engine of Hemnet's pricing power today.Phase 3 — Private-equity professionalisation (2016–2021). General Atlantic and Sprints bought control, turned a utility into a growth asset, indexed pricing to property value, and layered the value-added tiers (Raketen → Plus → Premium). This is where the 50% margins were engineered. Critically, the agency chains cashed out here; the broker associations stayed — and Mäklarsamfundet kept the A1 veto share class as its guardrail.Phase 4 — Public and ownerless (2021–present). PE anchors exited; register left ownerless. On the product side, the monetisation ladder was extended with Hemnet Max (1 April 2025) — the top tier and first new package since 2020 — carrying ARPL higher even as listing volumes fell.BUSINESS MODEL:The one-line thesis: A toll booth on Sweden's residential property transaction, where the seller pays the toll and the agent collects it on Hemnet's behalf. The two levers that drive the modelVolume — published listings (160.7k in FY2025, (−13.3%). Cyclical; tied to Swedish housing transaction activity. The input Hemnet does not control.ARPL — average revenue per published listing (SEK 8,175, +28.1%). The lever Hemnet does control: price increases plus conversion of sellers into higher value-added tiers. This is the engine. It is why revenue rose 9.5% while volume fell 13.3% — the defining proof of pricing power.source: annual report 2025ARPL continues to rise also in Q1 2026:source: quarterly report Q1 2026Cost and capital structureLargely fixed-cost (product, technology, staff); the principal variable cost is commission compensation paid back to agents for administering listings.High operating leverage → 50.3% EBITDA margin. The high degree of operating leverage DOL cuts both sides. When sales are on the rise, profits accelerate faster than sales. When sales decline, profit evaporates. Capital-light: capitalised development only SEK 23.5m in FY2025 Cash-generative → returned SEK 728.2m to shareholders in FY2025 (dividend 161.6m + buybacks 566.6m) under a one-third-of-earnings payout policy. The structural insight: monetisation is decoupled from the agent's commission. The seller pays Hemnet; the agent is the distribution channel, not the payer. This lets Hemnet raise price on the seller without directly contesting the agent's economics — the source of its durable pricing latitude.SWOT analysis:STRENGTHSNon-substitutable platform - Two-sided network effects; the default venue for Swedish residential sale. Market-share leadership is well-established.Proven pricing power - ARPL +28.1% against listings −13.3% (FY2025) — revenue grew through a frozen market. ARPL continues to grow in Q1 2026.Fortress margins - EBITDA margin 50.3%, operating margin 44.1%. In Q1 2026, those margins start to shrink (36.1%), but the company has proven that it can sustain EBITDA margins around 50%. Cash generation - Cash flow from operations SEK 598.1m ; capital-light.source: annual report 2025For Q1 2026 CFO (cash flow from operations) decreased from 115.7 million SEK for Q1 2025 to 50.1 million SEK. Those funds with additional 110 million SEK loans were channeled into share buybacks. The company bought its own shares in Q1 2026 for 155.1 million SEK.source: quarterly report Q1 2026Premier jurisdiction - Sweden — gold-standard rule of law, no framework penalty.Decoupled monetisation - Seller pays, agent administers — structural insulation of pricing.WEAKNESSESOwnerless governance - The binding constraint. No constitutional anchor. General Atlantic exited; Mäklarsamfundet - Mäklarsamfundet (the Association of Swedish Real Estate Agents) is Sweden's largest and oldest industry and member organization for real estate agents. Founded in 1919, it represents over 80% of the country's licensed brokers, providing them with legal advice, continuing education, and industry resources. No Stiftung/Stichting/voting pact.Concentration - Single country, single vertical — Swedish residential only. Hard TAM (total addressable market) ceiling. There is not much room for growth left in terms of volume. The model should scale horizontally in order for the growth path to continue. In 2025 170,415 homes were sold in Sweden and 82% of those were advertised on Hemnet portal. This number was 89% in 2024.source:https://www.tradingview.com/news/modular_finance:028267b672617:0-82-percent-of-homes-sold-in-2025-were-advertised-on-hemnet/Volume cyclicality - Revenue ultimately rests on transaction activity Hemnet cannot control; listings −13.3% in FY2025.In Q1 2026 volume is continuing to shrink:source:quarterly report Q1 2026Numbers of paid listings and numbers of published listings have declined heavily compared to Q1 2025.Not a net-cash fortress - Net debt SEK 516.4m / 0.7× EBITDA; equity −14.1% as buybacks erode the base. The company is actually taking on additional debt to buy its own shares (we saw this in Q1 2026).Load-bearing on one lever - Price-led growth is finite; seller and agent goodwill can be exhausted.OPPORTUNITIESARPL runway - Continued tier migration (Premium → Max); conversion at record highs. ”Sell first, pay later” - Launched Feb 2026; pilot lifted test-office listings +4% YoY — could attack the volume problem directly.Mortgage-rule easing - Planned 1 April 2026 easing flagged by management as a mobility catalyst.Adjacencies - Mortgage/insurance lead generation, agent SaaS, Hemnet Insights data products.AI distribution - Conversational search, AI app — defend and extend the front door.THREATSAgent-relationship dependence - The company’s own stated risk: a deteriorating agent relationship threatens the listing supply. The A1 (A1 series shares with veto) veto exists because this relationship is load-bearing.Disintermediation - AI-native search, big-tech entry, or an agent-led rival portal — the industry built Hemnet once and could, in principle, build an alternative.Regulatory / antitrust - A dominant platform exercising visible pricing power invites scrutiny.Seller backlash - Sustained price escalation on a quasi-utility carries reputational and political risk.Takeover vulnerability - Ownerless register makes Hemnet acquirable/financialisable — the inverse of custodial permanence.Q1 2026 - latest resultssource: quarterly report Q1 2026Sales are down by almost ~(-25%)EBITDA margin shrined to 36.1%Real estate is a cyclical industry and $HEM.ST is in pain mode.VALUATION:IV = BV per share + BV per share*(ROE-CoE)/(CoE-g)So the IV is the book value in place (or the assets in place - the liabilities in place) + The future returns above the cost of equity capital, also accounted for growth. So basically there are 3 main drivers of value. The book value in place - which is the most tangible part of the equation. In the case of $HEM.ST it not very tangible because it is mostly goodwill and other intangibles. The capacity to achieve returns higher than the cost of the capital invested. Return on equity should be higher than cost of equity in order for the business to be able to generate economic value. If ROE < CoE, then it is logical the intrinsic value of the business to be less than the book value of the business, because it is going to generate negative economic value through time.Growth can be a very potent component. It is very valuable if ROE is > than CoE.I will use 30% for normalized ROE. For growth I will use 5%. For cost of equity 10%.IV = 11.45 + 11.45*(30%-10%)/(10%-5%)IV = 57.25 SEKThe market price at the moment is 87.9 SEK per share. If we assume 40% normalized ROE (which is very hard to sustain in the very long run - competition will start to be aggressive and will erode the margin. I am not sure if the moat is so strong here to protect in the very long-run such an attractive return)IV = 11.45 + 11.45*(40%-10%)/(10%-5%)IV = 80.15 SEK per share. So overall I can conclude that Mr. Market assumes 40% sustainable ROE and 5% growth for the very long term.source: ft.comWhat was the market assuming in 2024 and 2025? Doesn’t look like something enduring and healthy.CONCLUSION:It is an interesting company but is more of a speculative position for me.
