Norbury Capital Norbury Capital | “Late last year, our investment in OCI Global turned from a very small and opportunistic bet into a larger position in which we became heavily involved. This marked Norbury Capital's first activist campaign. We believed then and still believe that the underlying value of the remaining assets is far higher than what shareholders would receive in illiquid Abu Dhabi listed shares. We wanted a fair cash offer. Together with the VEB and Marcel Smits, we took the matter to the Enterprise Chamber. The Enterprise Chamber agreed with us that the whole process probably likely fell short of good corporate governance standards and appointed two independent directors. Last week, majority shareholder Sawiris made a smart move by offering a low-ball €4.10 per share cash alternative offer. We do not believe the cash offer is sufficient. The independent directors' reluctance to recommend the bid on a standalone basis suggests they may share that concern. The offer represents a discount to the cash on the balance sheet, and attaches no value to the sale of the Geleen fertilizer plant, the cash generation of that plant and the potential value of the escrow. The independent directors ultimately accepted the combined offer which materially weakens our position. We have made a decent return and believe our actions helped other minority shareholders to benefit alongside as well. While we see the merits of continuing the case, we believe the probability of a higher bid from here is limited. Accepting Orascom shares would be irresponsible given their illiquidity. Our job is to continuously find the best risk/reward for our investors' capital, and we see plenty of opportunities to deploy the proceeds from OCI elsewhere. The outcome is therefore mixed.
